Putin abolished the obligation to offer minority shareholders with accelerated asset sales

Russian President Vladimir Putin has signed a decree according to which, when selling federal property, the state is not obliged to send an offer to minority shareholders. The decree was posted on the official Internet portal of legal information on June 3.

Previously, according to the law "On Joint Stock Companies" dated September 30, 2025, a person who receives more than 30% of the company's shares is required to send an offer to minority shareholders to buy out their shares. The new decree eliminates this requirement when selling shares and shares in the authorized capital of an LLC at public auctions or auctions.

According to the current amendments to the decree, when selling shares of a joint-stock company or shares in the authorized capital of a company at a public offer or auction, the provisions of the legislation of the Russian Federation on joint-stock companies regarding the mandatory offer to purchase shares of a joint-stock company do not apply.

The sale of federal property on behalf of the state will be handled by the PSB bank or the Federal Property Management Agency. The accelerated sale mechanism may be activated by decision of the President, while the market value assessment and the valuation report must be prepared no later than 10 days after the conclusion of the contract.

Deputy Minister of Economic Development Tatyana Ilyushnikova said during the session "Small Business Transformation: a new formula for SME Growth" at the St. Petersburg International Economic Forum (SPIEF) on June 3 that payment delays, changes in the terms of the offer, consumer terrorism and inequality in the position of Russian and foreign sellers are key business problems on marketplaces. She noted that the agency analyzes in detail the appeals of entrepreneurs and specific incidents related to the work of sellers on online platforms.
